1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of Kinago (“Kinago”, “we”, “our”, “us”), including all websites, mobile apps, private storefronts, services, tools, features, and technologies offered under the Kinago brand (collectively, the “Platform”).

By accessing or using Kinago, you agree to be bound by these Terms, our Privacy Policy, and any posted guidelines. If you do not agree, you may not use the platform.

2. Overview of Kinago Services

Kinago is a commission-free local commerce platform that enables customers to discover and transact with local businesses—retailers, restaurants, service providers, creators, wellness professionals, and more. The platform allows:

• Customers to browse, book, and buy from local businesses
• Businesses to operate storefronts, manage orders, and offer delivery or appointments
• Vendors to create private-branded apps and QR-based in-store experiences

3. Eligibility

You must be at least 13 years old to browse and at least 18 to transact, create an account, or register as a business. You affirm you have the authority to act on behalf of any business you represent.

4. Account Registration

You are responsible for maintaining accurate account information and keeping login credentials secure. You agree not to impersonate another user or allow unauthorized access. Misuse may result in suspension or termination.

5. Orders, Bookings, and Payments

• All customer payments include a $1.00 “Support Local” fee.
• Payments are securely processed through Stripe.
• Vendors receive 100% of order value minus Stripe’s standard processing fee (2.9% + $0.30).
• All orders are subject to vendor confirmation and vendor-set policies.

6. Businesses and Vendors

• Businesses must maintain accurate listings, pricing, and availability.
• You are solely responsible for order fulfillment and customer service.
• All local, state, and federal laws regarding licensing, tax, or operations must be followed.

7. Drivers and Service Providers

• Drivers must comply with local delivery laws, insurance, and identification requirements.
• Kinago does not employ or manage drivers. Vendors assign drivers at their discretion.

8. Customer Conduct

Customers agree not to abuse, harass, or defraud businesses or other users. Misuse of platform tools (fake bookings, chargebacks, impersonation, etc.) may result in permanent ban.

9. Kinago’s Role

Kinago is a technology platform. We are not a party to transactions between businesses and customers, nor do we guarantee product/service quality or safety. We do not employ vendors or drivers.

10. Platform Availability

While we strive for 24/7 uptime, Kinago does not guarantee uninterrupted access and may experience occasional downtime for maintenance or upgrades.

11. Intellectual Property

Kinago’s logos, software, and systems are proprietary. You may not copy, reproduce, or modify Kinago intellectual property without permission. Businesses retain their own branding, trademarks, and content rights.

12. Fees and Charges

Kinago is free for vendors. Customers pay a flat $1 fee per order. Stripe’s processing fee applies automatically. Additional services or upgrades may carry optional fees with clear notice.

13. Termination

We reserve the right to suspend or terminate your access at any time for violations of these Terms, fraud, abuse, or non-compliance. Users may close accounts by contacting support.

14. Dispute Resolution

You agree to resolve disputes through arbitration in Kinago’s home jurisdiction and waive the right to participate in class actions. Informal resolution is encouraged before escalation.

15. Governing Law

These Terms are governed by the laws of the United States and the state where Kinago is headquartered, without regard to conflict-of-law principles.

16. Changes to These Terms

We may revise these Terms periodically. We will notify users of material changes through the platform. Continued use after updates constitutes acceptance.

18. Industry-Specific Terms

18.1 Restaurants and Food Vendors

• Maintain accurate menus, allergens, prep times
• Follow all health department regulations
• Hold necessary permits and food safety licenses

18.2 Retailers and Product Sellers

• List only accurate inventory, shipping policies, and returns
• Provide tracking for nationwide shipping where available

18.3 Service Providers

• Clearly state rates, policies, and availability
• Maintain licenses or professional credentials
• Fulfill confirmed bookings or provide reasonable alternatives

18.4 Health and Wellness

• Provide only legally allowed services in your region
• Never offer diagnostic, pharmaceutical, or invasive treatments unless licensed
• Comply with healthcare privacy laws if applicable

18.5 Creators and Freelancers

• Clearly outline deliverables, deposits, and turnaround times
• Honor agreements made with clients

18.6 Multi-Location & Franchise Operators

• Each location must have an accurate storefront
• Promotions must reflect which locations they apply to
• All franchise locations must comply individually with Kinago’s terms

18.7 Regulated Products

Kinago does not permit the sale of firearms, THC, or counterfeit goods. Vendors offering alcohol, CBD, or tobacco must:

• Comply with age verification laws
• Ensure legal shipping/delivery methods
• Clearly mark age-restricted products

19. Prohibited Activities

You may not:

• Sell illegal, stolen, or unauthorized goods
• Scrape or misuse platform data
• Use bots or scripts to manipulate listings
• Engage in harassment, discrimination, or deception

20. Private Shops and White-Label Apps

Businesses using private Kinago apps must follow all standard terms. Custom branding does not exempt businesses from these Terms or Kinago’s platform policies.

21. Entire Agreement

This document, along with the Privacy Policy and any posted legal addendums (Cookie Policy, etc.) constitutes the entire agreement between you and Kinago. If any clause is found unenforceable, the remainder shall remain in effect.
